Mr. Verma, 39, is the Head of Structuring and Valuation of Arctas Capital Group. He led the development and financing of the company’s 40MW wind power project in Central America and the financing of the acquisition of its pipeline in Colombia. He is a leading, active member of the team for Arctas’ expansion of its global wind business.

He has over 18 years of international experience in Corporate Finance (M&A) and Project and Structured Finance primarily in the Electricity and Infrastructure sectors. Over this period he managed M&A transactions with an aggregate value in excess of $4 billion and has arranged aggregate financing of over $2 billion. Mr. Verma’s depth of international experience was gained through extensive involvement in transactions in various different roles including (i) investor, (ii) adviser to investor, (iii) arranger, (iv) lender and (v) borrower.

Mr. Verma was the Chief Financial Officer for U.S. Pipeline, Inc., and was involved in the rehabilitation of this company including the sale of non-essential assets and the outsourcing of non-core business activities. The restructuring process culminated in a sharp increase in earnings. Improved working capital management and asset divestitures reduced leverage by 90% over the same period.

As Head of Structuring and Valuation for Enron Caribbean Basin, he was responsible for business development and for the quarterly business valuation, which covered fifteen energy businesses in eight countries. He led the acquisition teams that carried out the due diligence on assets with an aggregate value of circa $950 million. He worked with an investment bank on the divestment of a $1.2 billion power plant.

From 1999 to 2000 he was the VP, M&A and CFO of a pre-IPO joint venture between NRG Energy & Vattenfall AB. The Company completed one development transaction and pursued three acquisition transactions.

From 1992 to 1999 he was a Director in WestLB’s structured finance unit initially in London and subsequently in New York. At WestLB he was responsible for corporate finance advisory, in which role he advised on over 15 acquisition transactions. In addition to the M&A advisory work, he was active in the structured finance debt markets where he arranged circa US$2 billion in debt financing for clients. The geographic spread of transactions included: Asia, Europe, North and South America. In addition to the front office roles, he was responsible for training and mentoring analysts and ensuring the quality of computer based financial models.

From 1988 to 1992 he was an auditor with KPMG Peat Marwick and during this time he completed his certification as a Chartered Accountant.

Mr. Verma graduated with Honors with a degree in Computer Engineering from City University, London. Mr. Verma is a Certified Financial Analyst.
